Terms of Service

These Terms of Service ("Terms") govern your use of the VegaTrade marketing website at vegatrade.ai (the "Site"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Scope

These Terms cover the Site only. The VegaTrade platform itself — the trader application, the strategy substrate, the audit-service backbone — is pre-launch and is not accessible from the Site. A separate platform Terms of Service will be issued when the platform opens to authenticated users; those terms will supersede these for any use of the platform.

2. Eligibility

You must be at least 18 years of age to use the Site. By using the Site, you represent that you meet this requirement.

3. Acceptable Use

You agree to use the Site only for lawful purposes. You will not:

• Attempt to gain unauthorized access to any portion of the Site or to any related system.
• Probe, scan, or test the vulnerability of the Site without prior written permission, except as described in §13 below.
• Interfere with or disrupt the Site or the servers and networks that host the Site.
• Use any automated means to scrape, harvest, or extract data from the Site beyond what a normal web browser does, except by submitting a properly identified bot whose User-Agent string identifies the operator and whose behavior respects /robots.txt.
• Submit false, misleading, or harassing content through the Request Access form.
• Use the Site or its content to develop a competing product without VegaTrade's prior written permission.

4. Trademarks and Site Content

VegaTrade™, Atlas-Trade™, the VegaTrade wordmark, and the Vega Star mark are unregistered common-law trademarks of VegaTrade, claimed based on first use in commerce. No federal trademark registration with the United States Patent and Trademark Office is in place at this time. The ™ symbol on this Site identifies these common-law claims; the ® symbol is not used.

The Site, its design, text, images, the Vega Star mark, the VegaTrade wordmark, and the VegaTrade and Atlas-Trade names were created by VegaTrade. VegaTrade is the owner of these materials. No federal copyright registration is in place at this time; copyright in original works of authorship arises automatically under United States law upon fixation in a tangible medium.

You may not copy, modify, distribute, sell, or lease any part of the Site or its content, except for reasonable fair-use snippets in citation contexts (for example, a journalist quoting a sentence in an article about the platform). VegaTrade asks that the Vega Star mark, the VegaTrade wordmark, and the VegaTrade™ and Atlas-Trade™ names not be used in commerce by any party other than VegaTrade.

5. No Investment Advice

Nothing on the Site is investment advice. The Site does not recommend, endorse, or solicit the purchase or sale of any security, derivative, commodity, currency, or other financial instrument. Any decisions about trading, investment, or capital allocation are your responsibility, made in consultation with your own qualified advisers.

6. No Solicitation

Nothing on the Site is an offer to sell or a solicitation of an offer to buy any security or financial instrument. Any future securities offering by VegaTrade will be conducted through the appropriate regulated channels and documentation, not through the Site.

7. No Regulated Status

VegaTrade is not currently registered as a broker-dealer, investment adviser, or any other regulated financial entity. References to SEC Rule 17a-4 on the Site describe the platform's architectural alignment to a recordkeeping standard; they do not constitute regulatory approval, endorsement, or licensure.

8. Forward-Looking Statements

The Site describes features, phases, and architectural commitments. Some surfaces are landed in code today; others are explicitly marked "on the roadmap" or "designed for." Forward-looking statements reflect current plans and are subject to change without notice. We make no guarantee that any roadmap feature will be delivered on any specific timeline or that any described capability will perform as anticipated.

9. Disclaimer of Warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. VEGATRADE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VEGATRADE, ITS OFFICERS, EMPLOYEES, ADVISERS, OR LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF VEGATRADE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL VEGATRADE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE EXCEED ONE HUNDRED UNITED STATES DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless VegaTrade and its officers, employees, advisers, and licensors from any claim or demand, including reasonable attorneys' fees, arising out of your breach of these Terms or your misuse of the Site.

12. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason. Provisions of these Terms that by their nature should survive termination (including §4, §5, §6, §7, §8, §9, §10, §11, §13, §14, §15, §16, §17, and §18) shall survive.

13. Responsible Disclosure

We welcome good-faith security research that respects the Site's operation. To report a security issue, contact us via the Request Access form with audience type "Other" and the word "security" in the message subject line. A dedicated responsible-disclosure mailbox will be activated when the platform's domain is ratified; until then, the form is the canonical channel. Please do not publicly disclose a security issue until we have had a reasonable opportunity to investigate and remediate.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

15. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.

16. No Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or of our right to enforce it later.

17. Entire Agreement

These Terms, together with the Privacy Policy, the Cookie Policy, and the Risk Disclosures, constitute the entire agreement between you and VegaTrade with respect to the Site.

18. Changes

We may update these Terms from time to time. Material changes will be reflected in the Effective Date at the top of this page. Your continued use of the Site after a change constitutes acceptance of the updated Terms.

19. Pre-Launch Disclaimer

VegaTrade is a pre-launch technology platform. These v1 Terms are authored by the platform team as a defensible baseline reflecting current Site use. They are not a substitute for review by licensed counsel and will be subject to formal counsel review before the platform opens to authenticated users.
